Growth of a Business: Scale or Sale

Evelyn Partners

Thu 04 Jun

The IBSA is pleased to invite you to attend its Annual Conference on the afternoon of Thursday 4 June 2026 in London. This year, we’ll explore another fictitious case study involving a founder-led biotech business preparing for its next phase of growth.

Our case study follows Patrick, an Irish entrepreneur who founded a pioneering healthcare diagnostics company developing innovative technology for the early detection of neurological diseases such as Alzheimer's and Dementia. With strong intellectual property, international expansion ambitions and increasing regulatory demands, the business has reached a strategic crossroads: whether to pursue a London IPO, attract private equity investment, or explore a trade sale to a major commercial partner.

The sessions will explore how the entrepreneur and his advisers approach this pivotal moment — balancing growth capital with control, designing tax-efficient management incentive structures, and preparing both the company and the founder personally for a potential transaction.

Key themes include:

  • Trade mark and Patent protection
  • Research and Development tax benefits
  • Pre-IPO and pre-sale corporate structuring, including Governance and Regulatory issues
  • Corporate Taxation issues and expansion into the US market
  • Financing growth through investor tax benefits and private equity finance
  • Incentivising senior management through growth shares and option plans
  • Exit strategies for shareholders, including migration
  • Founder wealth structuring and succession planning, including use of Insurance wrappers.

Through this fictional scenario, delegates will gain insight into the practical considerations facing owner-managed businesses on the path to scale, exit or public markets — and how early planning can protect both commercial and family interests.  The conference will follow the IBSA’s informal presentational techniques which allow delegates to engage directly with the speakers.  The issues examined will resonate both with entrepreneurs themselves, as well as their professional advisers.
